About CHAR PAIR

CHAR PAIR is a carpooling mobile app that connects users (car owners and car poolers) to carpool together and help reduce carbon emission, optimize fuel consumption, and reduce traffic congestion.

Primarily, the intention and objective of the CHAR PAIR Carpool is as summarized herein below:

• Carpool helps car poolers commute in a cost and time-effective manner
• Carpool helps car poolers commute to work, easing persistent traffic gridlocks across Indian cities and reducing air pollution
• Carpooling with professionals from different domains helps expand professional networks while commuting

Operation of CHAR PAIR

The CHAR PAIR operates through its mobile application platform and facilitates carpooling between the car owner and car pooler.

Important Notice: Please note that the activity of a car owner (allowing carpooling in their private car) does not constitute any binding contract between the car owner and the car pooler for the provision of transportation or related services of any cab/taxi (including radio taxi, motor cab, maxi cab, etc.). Accordingly, carpooling expenses shared by the car pooler should not be treated as consideration paid for any agreement or contract between car owner and car pooler.

By using CHAR PAIR's Platform for carpooling, you acknowledge and agree that these Terms of Use are binding between you and CHAR PAIR, and you expressly acknowledge and agree to be bound by the terms and conditions of this Terms of Use and any future amendments published by CHAR PAIR on its website or through the platform.

Role of CHAR PAIR

CHAR PAIR merely facilitates carpooling by bringing together users on the Platform and does not provide any transportation services to the users in any manner whatsoever.

Role of CHAR PAIR for Car Pooler

CHAR PAIR acts in the capacity of agent for the car pooler in respect of the expenditure incurred in carpooling. CHAR PAIR shall:

• Collect the expenditure amount from the car pooler as an agent of the car pooler
• Remit the same to the car owner
• Calculate the amount of carpooling cost to be shared by the car pooler as agreed and communicated through CHAR PAIR Application/Platform
• Remit the amount collected from the car pooler to the car owner as an agent of the car pooler

Representations and Warranties of User

By using any of the Applications or CHAR PAIR's Platform, you expressly represent and warrant that:

• You are at least 18 years old
• You are legally entitled to accept this Terms of Use
• You have the right, authority, and capacity to accept this Terms of Use and abide by it
• Your participation is for your sole, personal use only
• You will comply with all applicable laws in the jurisdiction(s) in which you are using the Applications
• You will only use the Platform and/or Application for lawful purposes

User Conduct and Prohibited Activities

You agree that you will NOT:

• Use carpooling to transport dangerous weapons, chemicals, or harmful substances
• Use carpooling for unlawful or fraudulent purposes or to transport illegal drugs
• Participate in carpooling when intoxicated or under the influence of any substance
• Use carpooling to cause nuisance, annoyance, or inconvenience
• Attempt to impede or disable the Platform or Application in any way
• Copy, distribute, or resell the Application or other content without CHAR PAIR's written permission
• Keep your account password secure and provide accurate proof of identity

Term and Termination

This Terms of Use is effective upon use of CHAR PAIR's Platform for new Users. CHAR PAIR has the right to make your account blocked/dormant for any reason, without explanation. You will not be able to access the Application upon such action.

CHAR PAIR may, in its sole discretion, bar your use of the Platform at any time. Even after your account is blocked or made inactive, this Terms of Use will remain in effect. You may opt out of using the CHAR PAIR Platform at any time by providing written notice to CHAR PAIR.

Your Personal Information

By creating an account with CHAR PAIR and using the Platform, you consent to CHAR PAIR using your personal information and data as needed. CHAR PAIR may:

• Store information in its computers and databases as required by data privacy laws
• Share your data with CHAR PAIR Platform's marketing partners and affiliates
• Use your personal information for improving Platform services
• Perform background checks as per our verification policies

Car Owner's Representations and Warranties

By using CHAR PAIR's carpooling services, a car owner represents, warrants, and agrees that:

• You are at least 18 years of age
• You possess a vehicle with private (not commercial/taxi) registration
• You possess a valid driver's license and are authorized to operate a motor vehicle
• Your vehicle is in good and safe operating condition
• You are named or scheduled on the insurance policy covering your vehicle
• You have valid liability insurance in compliance with all applicable legal requirements
• You will not discriminate or harass car poolers based on any protected characteristics
• You are medically fit to drive in accordance with applicable law

Cancellation Policy

To cancel any carpooling ride, go to the 'MyRides' section and cancel the particular carpool by clicking the delete button.

• If money was already deducted, it will be added back to your account automatically when you cancel
• A rider must cancel before the ride starts to get the automatic payment reversal
• The amount will be credited back to your CHAR PAIR balance
• Cancellation is not allowed after the ride is completed by the car owner

Disclaimer of Warranties

CHAR PAIR makes no representation, warranty, or guaranty as to the reliability, timeliness, quality, suitability, or accuracy of the services or Application.

The services and Application are provided strictly on an "as is" basis. All conditions, representations, and warranties, whether express, implied, statutory, or otherwise, are hereby disclaimed to the maximum extent permitted by applicable law.

Limitation of Liability

In no event shall CHAR PAIR and/or its affiliates, officers, employees, agents, or licensors be liable for any indirect, punitive, special, exemplary, incidental, consequential, or other damages of any type or kind.

CHAR PAIR is not liable for any loss, damage, or injury arising from your use of the Application, your reliance on the completeness or accuracy of any advertising, or as a result of any relationship or transaction with any third party.

You use the Application and services at your own risk. CHAR PAIR does not provide insurance coverage for Users, and you are responsible for your own safety and security.

Indemnification

By accepting this Terms of Use and using CHAR PAIR's Application or Platform, you agree to defend, indemnify, and hold CHAR PAIR, its subsidiaries, affiliates, officers, directors, agents, and employees harmless from any claims, costs, damages, losses, liabilities, and expenses arising from:

• Your violation or breach of any term of this Terms of Use
• Your violation of any applicable law or regulation
• Your violation of any rights of third parties
• Your use or misuse of the Application

General Provisions

• No joint venture, partnership, employment, or agency relationship exists between you, CHAR PAIR, or any third party as a result of this Terms of Use or use of the Platform or Application.

• This agreement may not be assigned by you without prior written approval of CHAR PAIR but may be assigned by CHAR PAIR to a parent or subsidiary, an acquirer of assets, or a successor by merger.

• CHAR PAIR may give notice by general notice on the Platform/Application, email to your email address, or by written communication. Such notice shall be deemed given upon expiration of 48 hours after mailing or 12 hours after sending by email.
